This is a legal agreement (“Agreement”) between You (“the user”) and BidPrime.com (“BidPrime”), for use of BidPrime’s services which the user agrees to by subscribing to a free trial or paid subscription service constituted by the selection of a username and password. USE OF THIS USERNAME AND PASSWORD TO ACCESS BIDPRIME'S MEMBER AREA REPRESENTS AN AGREEMENT BETWEEN THE USER AND BIDPRIME GOVERNED BY THE TERMS AND CONDITIONS CONTAINED HEREIN.

Jurisdiction: This Agreement shall be governed by and construed under the laws of the State of Texas, U.S.A. Approving these terms, the user consents to the exclusive jurisdiction and venue of the courts located in and serving Travis County, in Austin, Texas.

Modification of these Terms and Conditions: BidPrime may, from time to time, opt to update these terms and conditions in anticipation of new features or services. In this case, the user will be notified at least thirty days in advance by email or within the user’s interface dashboard news area. Continued use of BidPrime’s service beyond thirty days of notice, represents the user’s acceptance.

Services

Description of Services: BidPrime provides a live database of government contract leads and aggregates this information from a wide range of public and private domain sources. Subscribers with limited access through a free trial, full access trial, or paying for full access through a recurring monthly or reserved fee, register keyword searches matching their business to government sales opportunities. BidPrime notifies the user of matched sales leads at an interval determined by the user.

Through BidPrime’s user interface, the user may locate, store, edit, and upload user-specific documents related to each lead. Notwithstanding the services and tools, BidPrime does not guarantee these tools to be available at any and all times, as they may be upgraded, improved, or removed dependent upon user feedback or software upgrades.

Subscription and Termination:

Payment

Monthly subscriptions: BidPrime bills the user using a prorated, recurring payment system for subscriptions that recur on a monthly basis each month dependent upon the date of the user’s first payment. Prior to the forthcoming billing cycle, the user’s payment is processed according to the level of subscription. If a credit card or other transaction fails or is expired and not updated, the user will be notified by BidPrime and access to BidPrime’s services will be suspended until payment is received.

Registration: BidPrime precludes employees, management, or agents of companies offering services whose purpose it is to collect and redistribute government sales leads of any reason from signing up for any use of BidPrime’s service without express written permission from BidPrime’s management. Subscription to BidPrime for a free trial or paid subscription by any employee, management, or agent of a similar service—done with accurate or false information—constitutes a violation of BidPrime’s Terms of Service and constitutes immediate termination with no refund.

Trial access: Free trials provide two weeks of limited or unlimited access to BidPrime’s service. If, after two weeks the user does not opt to subscribe to a paid subscription, BidPrime will disable database access, including saved and tracked leads, and cease all email notification of new leads.

Termination of services

The user’s free or paid subscription may be cancelled at any time. The user may terminate their account by logging in and selecting billing information under the account tab 24 hours prior to the final day of the billing cycle. BidPrime will not refund any amount of the monthly subscription once a billing cycle begins; rather a cancelation or termination of the account by the user ceases the recurring monthly renewal in the forthcoming billing cycle.  To avoid being charged a fee for the next month of access, the user must contact BidPrime’s service hotline to submit a cancellation request to a BidPrime agent or leave a message detailing company information and username stating that the user wishes to cancel BidPrime’s services 24 hours prior to the final day of the billing cycle. The user understands that this information must be verified by a BidPrime agent on the telephone. If the user cancels the account prior to the deadline, but a BidPrime agent does not verify this information prior to the user’s account charge, the user will be refunded for the entire amount charged.

The user will have full access to the account until the paid period ends. For trial accounts, a cancellation is not necessary as the user’s services will cease after fourteen days of limited access. To cease BidPrime’s services before this date, the user may call the BidPrime hotline listed under billing information in the account tab.

BidPrime may retain all account settings and user information for up to 12 months after a free or paid subscription ends, barring any request by the user to remove this information. However, BidPrime makes no express guarantee that this information will be accessible after the account is canceled or deactivated by the user.

Limitation of Liability:

BidPrime offers no guarantees in regards to the content it aggregates in its database, or that which it matches and notifies the user. BidPrime is not responsible for the speed, reliability, accuracy, or quality of the content in its database, as this is determined by the source which BidPrime locates and extracts this information. As such, BidPrime shall not be held liable for any misrepresentations of content contained in any leads located in its database or distributed to the user or any other individual. This condition likewise involves any possible disparities between the publishing source and the information aggregated and contained in BidPrime’s database offered to the user.

BIDPRIME OFFERS NO WARRANTIES ON ITS SERVICES AND OFFERS IT “AS IS.” ACCEPTING THESE TERMS AND CONDITIONS INDEMNIFIES BIDPRIME AND ITS VALUE-ADDED RESELLERS, EMPLOYEES, MANAGEMENT, AGENTS, AND PARTNERS FROM ANY LIABILITY OR DAMAGES RELATED TO THE USE OF BIDPRIME, INCLUDING ANY LEGAL FEES OR FINANCIAL ISSUE RESULTING FROM USE OF BIDPRIME, INCLUDING ANY LOSS OF BUSINESS, PROFIT, OR CONTRACT BY MISREPRESENTED, INCORRECT, OR ANY OTHER ISSUE RESULTING FROM LOSS RESULTING FROM USE, OR THE INABILITY TO ACCESS BIDPRIME. THE LIMITATION OF LIABILITY IS ENFORCEABLE TO THE FULLEST EXTENT OF THE LAW, AND TO ANY EXTENT THAT BIDPRIME IS HELD RESPONSIBLE, ANY AMOUNT PAID WILL NOT EXCEED THE AMOUNT PAID BY THE USER TO BIDPRIME IN THE PREVIOUS 3 MONTHS.
